1. Agreement
Welcome to DateTrak.
This End User License Agreement (“EULA”) is a legal agreement between you and DateTrak LLC governing your installation, access, and use of the DateTrak mobile application and related software.
By downloading, installing, accessing, or using DateTrak, you acknowledge that you have read, understood, and agree to be bound by this EULA.
This EULA applies in addition to the DateTrak Terms of Service and DateTrak Privacy Policy.
If you do not agree with this EULA, you should not download, install, access, or use DateTrak.
2. License Grant
Subject to your compliance with this EULA, DateTrak LLC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, access, and use DateTrak on supported devices.
This license is granted solely for:
- Your personal inventory-management purposes
- Authorized business use on behalf of an organization for which you have permission to use DateTrak
- Use consistent with this EULA, the Terms of Service, and applicable law
This license permits use of DateTrak only as authorized. It does not transfer ownership of DateTrak, its software, source code, branding, intellectual property, or related technology to you.
DateTrak LLC reserves all rights not expressly granted under this EULA.
3. Ownership
DateTrak and all related intellectual property are owned by DateTrak LLC or its licensors and are protected by applicable United States and international intellectual-property laws.
Protected materials include, without limitation:
- The DateTrak software application
- Source code and object code
- Software architecture and functionality
- User-interface designs and layouts
- Graphics, icons, logos, and branding
- Trademarks, service marks, and trade names
- Documentation, instructions, and written materials
- Databases, systems, and related technology
- Updates, improvements, modifications, and derivative works created by or for DateTrak LLC
No ownership rights are transferred to you through this EULA, your purchase of a subscription, your installation of DateTrak, or your use of the application.
You retain ownership of the inventory information and other user data you enter into DateTrak, subject to the limited processing rights described in the Terms of Service and Privacy Policy.
4. Permitted Use
You may use DateTrak only for lawful inventory organization, product tracking, and expiration-date management.
Subject to this EULA, you may:
- Install DateTrak on supported authorized devices
- Create and manage inventory records
- Create and organize inventory locations
- Enter and track product expiration information
- Use supported barcode-scanning functionality
- Use cloud backup and restore features when available and authorized
- Access features included with your valid subscription or authorized license
- Use DateTrak for authorized business purposes on behalf of your employer or organization
If you use DateTrak on behalf of a business or organization, you represent that you have authority to accept this EULA and use DateTrak on that organization’s behalf.
Your use of DateTrak must remain consistent with workplace policies, applicable laws, safety requirements, and any contractual obligations that apply to you or your organization.
5. Restrictions
Except where applicable law expressly permits otherwise, you may not:
- Reverse engineer, decompile, disassemble, decode, or attempt to derive DateTrak’s source code
- Modify, adapt, translate, or create derivative works based on DateTrak
- Copy, reproduce, redistribute, publish, sell, rent, lease, sublicense, assign, or transfer DateTrak
- Circumvent, disable, remove, or interfere with security, licensing, authentication, subscription, or access-control features
- Remove, alter, or obscure copyright notices, trademarks, branding, legal notices, or proprietary markings
- Use DateTrak to violate any law, regulation, contractual duty, or third-party right
- Attempt unauthorized access to DateTrak systems, accounts, servers, databases, or related services
- Introduce malware, malicious code, automated attacks, or other harmful content
- Use DateTrak in a manner that disrupts, overloads, damages, or impairs the application or related services
- Use DateTrak to develop, train, support, or improve a competing product or service through unauthorized copying or extraction
Any unauthorized use of DateTrak may result in immediate termination of the license granted under this EULA.
6. Software Updates
DateTrak LLC may provide updates, upgrades, patches, corrections, security fixes, compatibility improvements, or new versions of DateTrak.
These updates may:
- Improve functionality, reliability, or performance
- Correct errors or security vulnerabilities
- Maintain compatibility with devices or operating systems
- Add, modify, limit, or discontinue features
- Address legal, regulatory, or third-party requirements
Some updates may be required to continue using certain features, cloud services, authentication systems, or supported versions of DateTrak.
Unless separate terms are provided with an update, this EULA applies to all updates and replacement versions of DateTrak.
7. Third-Party Services
DateTrak may rely on or integrate with third-party services, platforms, software, and infrastructure.
These services may include:
- Firebase Authentication
- Firebase Cloud Firestore
- Google Play services and billing
- Apple App Store services, where applicable
- Device operating-system services
- Internet, hosting, or cloud infrastructure providers
Your use of third-party services may also be governed by their respective terms, privacy policies, licenses, and platform rules.
DateTrak LLC does not control third-party services and is not responsible for interruptions, errors, policy changes, data handling, or other actions taken by those providers.
DateTrak functionality may be limited or unavailable if a third-party service becomes unavailable, changes its requirements, or is no longer supported.
8. No Guarantee of Results
DateTrak is designed to assist users with inventory organization and expiration-date tracking.
DateTrak does not guarantee:
- The accuracy or completeness of user-entered information
- The accuracy of product names, barcodes, or expiration dates
- The condition, safety, quality, or suitability of any product
- Compliance with laws, regulations, or employer policies
- Reduced waste, inventory savings, or other business outcomes
- That alerts or color-coded status indicators will prevent loss
- That all data will remain available without interruption
DateTrak is an organizational tool and does not replace physical product inspection, manufacturer guidance, professional judgment, workplace procedures, safety requirements, or legal compliance.
Users remain responsible for verifying all inventory information and making final decisions regarding product use, sale, transfer, rotation, storage, or disposal.
9. Disclaimer of Warranties
To the maximum extent permitted by applicable law, DateTrak LLC disclaims all warranties and representations, whether express, implied, statutory, or otherwise.
This includes implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, compatibility, and uninterrupted operation.
DateTrak LLC does not warrant that:
- DateTrak will meet every user or business requirement
- DateTrak will operate without interruption or error
- DateTrak will be compatible with every device or platform
- Defects will always be corrected
- Stored or backed-up information will never be lost
- Barcode scans, reminders, calculations, or displayed information will always be accurate
Some jurisdictions do not allow the exclusion of certain implied warranties, so some of these exclusions may not apply to you.
10. Limitation of Liability
To the fullest extent permitted by applicable law, DateTrak LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of DateTrak.
This includes, without limitation:
- Inventory loss
- Product spoilage
- Missed expiration dates
- Lost profits or revenue
- Business interruption
- Loss of productivity
- Loss or corruption of data
- User-entered errors or omissions
- Unauthorized account access
- Misuse of the application
DateTrak assists with inventory organization but does not replace user responsibility for verifying inventory information, product condition, expiration dates, workplace procedures, manufacturer guidance, or legal compliance.
If liability is imposed despite the limitations contained in this Agreement, DateTrak LLC's total liability shall not exceed the amount you paid to DateTrak LLC during the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain liability limitations, so portions of this section may not apply where prohibited by law.
11. Termination
This license automatically terminates if you violate this EULA, the DateTrak Terms of Service, or applicable law.
DateTrak LLC may suspend, restrict, or terminate access to DateTrak whenever reasonably necessary to:
- Protect the application or related services
- Protect other users
- Protect DateTrak intellectual property
- Address fraud or unauthorized activity
- Respond to legal requirements
- Maintain application security or integrity
Upon termination, all rights granted under this EULA immediately end and you must discontinue use of DateTrak.
12. Governing Law
This EULA shall be governed by and interpreted in accordance with the laws of the State of Minnesota, United States, without regard to conflict-of-law principles.
Any legal dispute arising under this EULA shall be brought in a court of competent jurisdiction located within the State of Minnesota unless applicable law requires otherwise.
